Special Membership Vote

The proposed resolution below is to appoint the board of directors to review and approve the 2019 and 2020 annual member meeting minutes, as fully stated below.

Whereas each year Adams Electric Cooperative holds an Annual Member Meeting (the “AMM”) at which one item of regular business is the approval of the Meeting Minutes of the prior year’s AMM, which has for many years been accomplished through an in-person procedure that results in the Directors of Adams Electric sitting as a “Minutes Review Committee”;

Whereas due to the pandemic, there was no in-person format for the 2020 AMM and there will be no in-person format for the 2021 AMM, the result of which is that the Minutes of both the 2019 and 2020 AMMs need approval other than through the usual in-person procedure;

Whereas the Minutes from both the 2019 and 2020 AMMs may be viewed at Adams Electric’s website (www.adamsec.coop), at https://www.adamsec.coop/2021-annual-meeting, or any Member may contact Adams Electric to obtain a hard copy to review;

Whereas to achieve a review and approval of both the 2019 and 2020 AMM Minutes, it is proposed that the Membership of Adams Electric approve the following resolution:

Be It Hereby Resolved that a “Minutes Review Committee,” consisting of the Directors of Adams Electric Cooperative, Inc. serving on its Board of Directors immediately following the 2021 Annual Member Meeting, is hereby created for the purpose of reviewing and approving the Minutes of the 2019 and 2020 Annual Member Meetings of Adams Electric Cooperative, Inc., correcting errors if necessary or reasonable, and taking all other reasonable or necessary actions related thereto.
